Licensing & Usage Rights

KEINA Publishing, operated by Keina Corp ("KEINA Publishing," "Company," "we," "our," or "us"), provides digital templates, publishing resources, and related digital products subject to the terms of this Licensing & Usage Rights Policy ("License").

By purchasing, downloading, accessing, or using any product provided by KEINA Publishing, you acknowledge and agree to be bound by the terms set forth below.

LICENSE GRANT

Upon purchase, KEINA Publishing grants the purchaser a non-exclusive, non-transferable, worldwide commercial license to use the purchased digital product in accordance with this License.

Ownership of the original digital files, designs, templates, and intellectual property remains with KEINA Publishing unless expressly stated otherwise.

This License grants usage rights only and does not transfer ownership of the original digital files.

PERMITTED USES

Subject to compliance with this License, purchasers may:

• Edit, modify, customize, and adapt purchased templates.
• Add their own branding, logos, trademarks, business information, and design elements.
• Remove KEINA Publishing branding, notices, and identifying elements.
• Manufacture physical products using the templates.
• Sell physical products commercially.
• Sell products worldwide.
• Produce unlimited quantities of physical products.
• Use templates for personal or commercial purposes.
• Use templates for client work and commercial projects.
• Create products for third-party clients.
• Utilize third-party printers, manufacturers, contractors, designers, consultants, virtual assistants, and service providers in connection with their business activities.
• Publish, distribute, and sell finished physical products through retail stores, online marketplaces, wholesale channels, print-on-demand services, publishing platforms, and other lawful sales channels.
• Upload finished products created from the templates to platforms including, but not limited to, Amazon KDP, Etsy, IngramSpark, Lulu, and similar publishing or sales platforms.
• Use purchased products in connection with artificial intelligence tools, automation systems, business operations, and related technologies.

NON-EXCLUSIVE LICENSE

All products sold by KEINA Publishing are provided on a non-exclusive basis unless expressly stated otherwise in writing.

The purchase of a template does not grant exclusive ownership, exclusive usage rights, or exclusive access to the design.

KEINA Publishing reserves the right to continue selling, licensing, modifying, distributing, or otherwise utilizing the same template for additional customers and business purposes.

PROHIBITED USES

Except as expressly permitted under this License, purchasers may not:

• Resell digital files.
• Redistribute digital files.
• Share digital files with third parties except as reasonably necessary to facilitate authorized business activities.
• Give away digital files for free.
• Upload digital files to marketplaces, download libraries, membership sites, template repositories, or file-sharing platforms.
• Sell digital versions of KEINA Publishing templates.
• License, sublicense, transfer, assign, or distribute the original digital files as standalone digital products.
• Claim authorship or ownership of the original unmodified digital files created by KEINA Publishing.
• Make purchased files available for public download in any format.

For clarity, this restriction applies to the digital files themselves and not to physical products created from those files.

CLIENTS, CONTRACTORS, AND SERVICE PROVIDERS

Purchasers may provide purchased files to employees, contractors, designers, consultants, virtual assistants, printers, manufacturers, publishing platforms, and other service providers solely for the purpose of producing, customizing, managing, or selling products on behalf of the purchaser.

The purchaser remains responsible for ensuring compliance with this License by any person or entity granted access to purchased files.

INTELLECTUAL PROPERTY

All copyrights, trademarks, designs, layouts, templates, graphics, content, and other intellectual property rights not expressly granted under this License remain the exclusive property of KEINA Publishing or its licensors.

Nothing contained in this License shall be interpreted as transferring ownership of intellectual property rights to any purchaser.

TERMINATION

KEINA Publishing reserves the right to terminate or revoke this License in the event of a material violation of its terms.

Termination shall not limit any rights or remedies available to KEINA Publishing under applicable law.

DISCLAIMER

Products are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied, except where such warranties cannot be lawfully excluded.

KEINA Publishing makes no guarantee regarding commercial success, profitability, sales performance, market acceptance, business results, or financial outcomes arising from the use of any product.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, KEINA Publishing shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of its products.

The purchaser assumes all responsibility for the use, modification, production, publication, distribution, marketing, and sale of products created using purchased templates.
